By accessing or using Kodiva.ai, including our website, platform, AI agents, APIs, mobile applications, or related services (collectively, the “Services”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree with these Terms, you must not access or use the Services. These Terms apply to all users, including customers, recruiters, hiring managers, interviewers, and candidates interacting with Kodiva on behalf of a customer.
2. Changes to Terms
Kodiva may update or modify these Terms at any time. Updated Terms will be posted on our website and will become effective upon posting. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.
3. Eligibility & Authority
You must be at least 18 years old to use the Services. If you are using Kodiva on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. You agree to provide accurate, current, and complete information.
4. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials, all activities conducted through your account, and promptly notifying Kodiva of any unauthorised access or security breach.
5. Use of Services
Kodiva may be used solely for lawful recruitment, hiring, and talent-related purposes. You may not reverse engineer, scrape, misuse, or unlawfully exploit the Services.
6. AI-Powered Services Disclaimer
Kodiva provides AI-assisted tools only. AI outputs are informational and do not replace human judgment. Kodiva does not make hiring decisions and does not guarantee outcomes or accuracy.
7. No Employment or Hiring Guarantee
Kodiva is not an employer, recruitment agency, or staffing firm. Customers are solely responsible for hiring decisions and compliance.
8. Candidate Communications
Customers are responsible for obtaining consent and complying with applicable laws for any candidate communications facilitated by Kodiva.
9. Customer Data & Content
Customers retain ownership of their data. Kodiva retains ownership of its platform, software, and AI models. Customers grant Kodiva a limited license to process data to provide the Services.
10. Fair Use Policy
Unlimited features are subject to fair and reasonable use. Kodiva may monitor usage and restrict abusive behaviour.
11. Third-Party Services
Kodiva is not responsible for third-party services or content. Use of such services is governed by their own terms.
12. Suspension & Termination
Kodiva may suspend or terminate access for violations, non-payment, or security reasons.
13. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis without warranties of any kind.
14. Limitation of Liability
Kodiva shall not be liable for indirect or consequential damages. Liability is limited to fees paid in the preceding 12 months.
15. Indemnification
You agree to indemnify Kodiva from claims arising from your use of the Services or hiring decisions.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Courts in Bhilwara, Rajasthan shall have exclusive jurisdiction.
17. General Provisions
These Terms constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect.
